Yesterday, Genesee & Wyoming Inc. (GWI) shareholders elected three directors to three-year terms at the short line holding company's annual stockholders meeting in Greenwich, Conn.
The board members are:
• Louis Fuller, a retiree who previously served executive search firm Courtright and Associates, is first cousin of GWI Chairman and Chief Executive Officer Mortimer Fuller III, and has served the board since 1974;
• Philip Ringo, chairman and CEO of RubberNetwork.com L.L.C., who has served the board since 1978; and
• Mark Scudder, president of Scudder Law Firm P.C. L.L.O., who was appointed to the board last year to fill a vacancy.
Shareholders also approved the appointment of PriceWaterhouseCoopers L.L.P. as independent auditors and the adoption of a 2004 incentive plan, which will replace some existing stock-option plans and enable the company to offer employees a variety of incentive awards.
